Terms of Service

These terms govern your use of GoOak, an online store platform operated by OAKSOL TECHNOLOGIES PRIVATE LIMITED(“we”, “us”). By creating a store, or by buying from a store hosted here, you agree to them.

1. What GoOak is

GoOak is software that lets a business run an online store: listing products, taking orders, managing stock and shipping, and issuing invoices. We provide and host that software.

We are not the seller. When you buy from a store on GoOak, your contract is with that merchant, not with us. The merchant is responsible for their products, their descriptions and prices, fulfilment and delivery, returns and refunds, and their own tax and regulatory compliance. We are responsible for the platform those things run on.

2. Accounts

  • You must be old enough to enter a contract in your country, and authorised to act for the business you register.
  • The information you give us at signup — business name, address, tax registration, turnover — must be accurate, and you must keep it current. We rely on it to apply the correct tax rules to your sales.
  • You are responsible for what happens under your account, including anything your staff do with the access you grant them.
  • Tell us promptly at support@gooak.shop if you believe your account has been accessed by someone else.

3. Your content and your catalogue

Everything you upload — product information, images, copy, your customer list — remains yours. You grant us only the licence we need to host, display and back up that material so the service can function, and it ends when you remove the material or close your store.

You are responsible for having the right to use what you upload. Product photographs you do not own the rights to are the most common way merchants get this wrong.

4. What you may not sell or do

You may not use GoOak to sell anything you are not lawfully entitled to sell where you operate, and you may not:

  • sell goods or services prohibited by law, or restricted goods without the licences they require;
  • infringe someone else’s trademark, copyright or design rights;
  • misrepresent what a product is, where it ships from, or what it costs;
  • use the platform to send unsolicited bulk messages;
  • attempt to access another merchant’s data, probe the platform for weaknesses without our written permission, or interfere with its operation.

5. Payments

Customer payments are processed by third-party payment providers — currently Razorpay for domestic Indian transactions and Stripe for international ones — under your own account with that provider. Their terms apply to that relationship, and money settles from them to you.

We do not store card numbers.Card details are handled by the payment provider and never reach our servers. We keep only the provider’s transaction reference and the method used, so that orders can be reconciled and refunded.

Chargebacks, disputes and refunds on a sale are between you, your customer and your payment provider. Where a provider recovers funds from you, that is a matter under their agreement with you.

6. Fees

Subscription fees and any commission are those shown on your plan at the time you subscribe. Fees are payable in advance and are exclusive of taxes unless stated otherwise. We will give reasonable notice before changing the fees for an existing plan.

7. Tax

The platform calculates tax using the rules configured for your country and helps you issue invoices, including e-invoice reporting where a tax authority requires it. Those are tools. Responsibility for registering, charging, collecting, reporting and paying tax on your sales is yours, and you should satisfy yourself that what the platform produces matches your obligations.

8. Availability

We work to keep the service available and will give notice of planned maintenance where we can. We do not promise uninterrupted service, and we may need to suspend it briefly to fix or protect it.

9. Suspension and termination

You may close your store at any time. We may suspend or close an account that breaches these terms, that is being used unlawfully, or where required by law or by a payment provider — and, other than where the breach is serious or urgent, we will tell you why and give you a chance to put it right.

On closure you may export your data for a reasonable period, after which the store’s data is deleted. See the Privacy Policy for retention detail.

10. Liability

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Subject to that, we are not liable for lost profits, lost sales, lost data or indirect losses, and our total liability to you in any twelve-month period is limited to the fees you paid us in that period. The service is provided without warranties beyond those the law implies and does not allow us to exclude.

11. Indemnity

You will cover us against claims brought by third parties arising from your products, your content, or your breach of these terms — including claims by your own customers about goods you sold them.

12. Changes

We may update these terms. Where a change materially affects your rights we will give notice before it takes effect. Continuing to use the service after that is acceptance.

13. Governing law

These terms are governed by the laws of India, and the courts there have exclusive jurisdiction over any dispute arising from them.
